Neopharm Ltd. (hereinafter – the " Company "), which developed and maintains this website (hereinafter – the " Site "), makes available to you information regarding the Company and its activities, as well as for the visitor's knowledge and education purposes.

Please read the following privacy policy (hereinafter – the " Privacy Policy ") carefully before accessing and using this Site. By accessing or using the Site, you confirm that you have read and understood the Privacy Policy and that you agree, without any condition and/or reservation, to be bound by the following Privacy Policy, exactly as if you had signed it. If you do not wish to be bound by the Privacy Policy, you may not access the Site.

General: The Company may change, delete and/or add to and/or update the Privacy Policy at any time and from time to time, without obligation and without any need to give notice in advance or retroactively. Such changes shall take effect immediately upon their publication on the Site. Your continued use of the Site shall be deemed conclusive evidence of your consent to it as amended. Without derogating from the foregoing, the Company or Neopharm Group and/or anyone on their behalf bear no direct and/or indirect liability with respect to the content appearing on the Site, including but not limited to articles, images, features, reviews, data, news items, advice, assessments, descriptions, links, instructions and/or any other information in any format whatsoever made available to you by any means, existing now or in the future (hereinafter – the " Site Content "), whether such content is owned by the Site or by any third party, in connection with its reliability, content, accuracy, credibility, availability and its effect on Site users and/or any third party exposed to the Site Content in any other way. From time to time, the Site may contain content and information relating to various diseases and/or various medical conditions and their treatment. It is clarified that the content and/or information appearing on the Site does not constitute a medical and/or therapeutic recommendation. The provisions of these terms refer to women and men alike, and the use of the masculine form is for convenience only.

Use of information and express consent to receive marketing communications

In order to complete an inquiry under 'Contact Us', you must actively consent to receive marketing and advertising communications, so as to allow us to update you with information about the Group's services as well as marketing and advertising information. The details provided will be stored in Neopharm Group's database as detailed in this Privacy Policy. Responsibility for completing the details lies with you, and you undertake to provide correct and accurate details. You may withdraw your express consent and cease receiving such communications at any time. In the course of using various content on the Site, you may be asked to provide personal details such as name, address and email. Users who enter their details as stated hereby give their express consent to receive marketing communications regarding promotions, benefits and advertising materials from the Company as well as from companies belonging to Neopharm Group, and to be included in the database managed by Neopharm Group in accordance with the Protection of Privacy Law, 5741-1981.

If and to the extent that you provide personal information of any kind, such information will be stored in the registered databases of Neopharm Group and used for the purpose of managing and improving the service and our relationship with you, for operational, marketing or statistical purposes, including processing the information and sending communications in order to fulfill these purposes, as well as for providing service, encouraging customer loyalty and ensuring fair trading activity as required by law. Please note that you are not required by law to provide information to the Company, and that any transfer of information by you to the Company is done at your sole responsibility, of your own free will and with your consent, and you shall have no claim and/or demand against the Company and its representatives in this regard.

It is clarified that you may, at any time, request the deletion of your details from Neopharm's mailing list, and you shall be entitled to review the information about you held in the database and to request its correction and/or deletion. It is clarified that the Company may use third parties to operate the Site and/or to carry out deliveries and/or the mailing list and/or a customer club, and that you consent to the transfer of the details you submit on the Site to such third party for the purpose of performing the service related to the Site and/or your inquiry to the Company and/or the customer club, and you shall have no claim, demand or suit against the Company in respect of such transfer of data and information. In the event of any contradiction and/or inconsistency between these terms of use and any other publications, these terms of use shall prevail for all intents and purposes.

The Company reserves the right to use the details in order to enable use of the various services on the Site, to improve and enrich the content presented on the Site, and for the purpose of sending marketing communications and/or trial samples.

The Company shall also be entitled to use these details, whether itself or through anyone on its behalf, for various commercial, advertising, statistical and marketing purposes, provided that such use is based on the information as a whole and without specific reference to information relating to any particular user. The use of these details shall be made only in accordance with this Privacy Policy or in accordance with the provisions of any law. The Company shall not transfer the details of Site users to any third parties, except in the cases detailed below:

Without derogating from any other right of Neopharm, users agree that in cases where Neopharm has concerns that users' use of the Site contravenes the terms of use and/or the provisions of law, Neopharm shall be entitled to trace their use of the Site, to block access to the Site, and/or to transfer their behavior patterns to third parties whom the users' activity may harm and/or where a judicial order has been issued directing it to do so, as well as to take any other action that Neopharm deems appropriate in order to protect its property and/or its rights.

It is clarified that the Company may use third parties to operate the Site and/or the mailing list and/or a customer club, and that you consent to the transfer of the details you submit on the Site to such third party for the purpose of performing the service related to the Site and/or the customer club, and you shall have no claim, demand or suit against the Company in respect of such transfer of data and information.

Furthermore, nothing on the Site should be construed as the promotion or advertising of any product, or of the use of a product that is not authorized under the laws of the country in which the user resides. The Company will cooperate fully with law enforcement authorities, or with any court order requesting or directing the Company to disclose the identity of anyone who published such materials or information on its site.

The Company reserves the right to change or delete materials from the Site at any time, without prior notice. You undertake not to use any device, software or routine in order to interfere or attempt to interfere with the proper operation of the Site. You undertake not to take any action that imposes an unreasonably or disproportionately large load on the infrastructure of Neopharm or its suppliers. You also undertake not to use framing or other techniques in order to attach any trademark, logo, business name or other proprietary information of the Company or Neopharm Group, including images, frames, content or the layout/design appearing on any page of the Site, without the express written consent of the Company.

Right to review information Under the Protection of Privacy Law, every person is entitled to review, either personally or through a representative authorized in writing, information held about them in a database. A person who has reviewed information about themselves and found that the information is not correct, complete or clear may apply to the Company with a request to correct or delete the information.

Currency of the information:

The Company makes reasonable efforts to include accurate and up-to-date information on the Site, but since the information changes frequently, Neopharm cannot guarantee the degree of accuracy of the information. Furthermore, the Company assumes no responsibility or liability for the reliability, accuracy, validity, currency, usefulness or completeness of any information on the Site. It is clarified that the Company is not obliged to update the content of the Site and does not warrant the accuracy, completeness or currency of the information appearing on the Site and/or of the products and services mentioned on it. The Company shall not be liable for any error or omission, express or implied.

This Privacy Policy and the Site's terms, together with any other agreement entered into between you and the Company, constitute the entire agreement between you and the Company and supersede all other agreements, representations and understandings, whether written or oral.

If any provision contained in the Privacy Policy is found to be unlawful, invalid or unenforceable under existing law or under any future law, then you understand and agree that the section or provision found to be unlawful, invalid or unenforceable shall be severed from the remaining terms and provisions, without affecting the enforceability of all the remaining provisions and sections.

Activity on this Site and everything connected with it, including the Privacy Policy, shall be subject to Israeli law alone (without reference to foreign law), and exclusive jurisdiction in any dispute concerning the Site and its use and/or the interpretation of the Privacy Policy shall be vested in the competent courts in Tel Aviv.

All section headings used in this agreement are for convenience of reference only and shall not be taken into account in interpreting the Privacy Policy or in determining its meaning.
